LAW 6214 - Corporate Finance

Prerequisite: LAW 5421 - Business Organizations .

In this course we will consider the state corporate laws and federal securities laws regulating the financing of corporations, both closely held and public. We will focus on various financing methods, including common stock, preferred stock, and convertible and straight debt (but not commercial lending arrangements such as bank loan agreements), as well as dividends, stock repurchases, tender lifers and mergers. Among the legal issues we will consider are the laws regulation corporate disclosure and corporate governance.
